1. Introduction
These Terms & Conditions ("Terms") govern the use of services provided by Neoflo ("Company," "we," "our," or "us"), an AI-based services and consulting company serving mid-market and enterprise customers worldwide. By accessing or using our services, you ("Customer" or "Client") acknowledge and agree to be bound by these Terms." Company means Random Forest tech Pte Ltd and its subsidiaries.
2. Scope of Services
We provide AI-driven consulting, analytics, automation, and enterprise-grade solutions. Services include, but are not limited to:
AI-powered business intelligence & insights
Predictive analytics & data modeling
AI chatbot & virtual assistant solutions
Process automation & workflow optimization
Custom AI solutions for enterprise needs
3. Intellectual Property Rights
3.1 Ownership of Work Product
All deliverables created under these Terms remain the intellectual property of Neoflo, unless otherwise agreed in a separate written contract.
Clients may be granted a limited, non-exclusive, non-transferable license to use our services and solutions solely for internal business operations.
Neoflo Application and Services, including but not limited to names, logos, program codes, designs, trademarks, technologies, database, business processes and models, are protected by copyright, trademark, patent and other intellectual property rights available under the laws of the Republic of Singapore which are registered either on behalf of Neoflo or its affiliates. Neoflo have all the rights and interests of the Application and Services, including all intellectual property rights related to all features contained therein and related intellectual property rights. Any duplication, distribution, creation of derivative works, sale or offer to sell, display either in part or in full, and use of the Application and/or Services, either digitally or otherwise , including but not limited to the use of additional applications such as modifiers, emulators, etc., which diverge from these Terms and Conditions, as well as the intended purposes determined by Neoflo, is a violation of Neoflo intellectual property rights.
3.2 Third-Party Dependencies
Some services may rely on third-party software, APIs, or data sources. Clients acknowledge that these external services are subject to their respective terms and conditions.
4. Customer Responsibilities
Clients must provide accurate, complete, and timely information necessary for the execution of services.
Any misuse of AI solutions, including unethical data practices or unauthorized modifications, will result in service termination.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during service engagement.
We employ industry-standard safeguards to protect sensitive data but cannot guarantee absolute security against unauthorized access.
6. Data Privacy & Processing
The Company acts as a data processor on behalf of the client. Client is the data Controller and is responsible for applicable data protection laws.
Customers control the data they submit to us, and their privacy practices may differ.
We comply with applicable data protection laws, including GDPR (EU), CCPA (California), and India’s Digital Personal Data Protection Act (DPDPA).
7. Payments & Fees
Payment terms are outlined in individual service agreements.
Late payments may result in service suspension or additional fees.
No refunds will be issued once services are rendered, except as outlined in specific contracts.
8. Warranties & Disclaimers
We warrant that services will be provided in a professional and workmanlike manner.
No Guarantee of Specific Outcomes: AI-driven services rely on data, and outcomes may vary based on input quality and external factors.
9. Limitation of Liability
Our total liability for any claim related to our services is limited to the fees paid by the Client in the last three (3) months.
We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, business interruption, or reputational damage.
10. Indemnification
Clients agree to defend, indemnify, and hold harmless the Company from any claims, liabilities, or expenses arising from misuse of services or breach of these Terms.
11. Termination & Suspension
We may immediately suspend or terminate services if the Client breaches these Terms, engages in unethical AI usage, or fails to make timely payments.
12. Compliance with Laws
Clients must ensure that their use of AI solutions complies with local, national, and international laws.
We do not assume liability for AI-generated outputs used in a manner that violates regulations.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore.
Any disputes will be resolved through binding arbitration in Singapore, except where prohibited by law.
14. Modifications to Terms
We may update these Terms at any time. The latest version will be available on our website.
Continued use of services after changes constitute acceptance of the revised Terms.
